Terms of Use

These Terms of Use ("Terms") govern your use of the Pantree mobile application ("App") operated by Upper Echelon Software ("we", "our", "us"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Description of Service

Pantree is a recipe management application that allows you to:

• Import recipes from websites, social media platforms, and photos
• Generate recipes using artificial intelligence based on your preferences and available ingredients
• Organize saved recipes
• Track pantry inventory and grocery lists
• Follow step-by-step cooking instructions with built-in timers

2. Subscription and Payments

• Pantree requires a paid subscription to access its features.
• Subscriptions are billed through Apple's App Store on a recurring basis (weekly or yearly, as selected by you at the time of purchase).
• Payment is charged to your Apple ID account upon confirmation of purchase.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• You can manage and cancel your subscription at any time via your device's Settings → Apple ID → Subscriptions.
• No refunds are provided for unused portions of a subscription period. Refund requests must be directed to Apple.
• Prices may change. We will notify you of price changes in advance, and you will have the option to cancel before the new price takes effect.

3. AI-Generated Content

• The AI Chef feature and Scan & Cook feature generate recipes using OpenAI's language models.
• AI-generated recipes are provided "as is" and may not be perfectly accurate in terms of ingredient quantities, cooking times, or techniques.
• You are solely responsible for verifying the safety and suitability of any recipe before preparing or consuming it, particularly regarding food allergies, dietary restrictions, and food safety practices.
• Pantree is not responsible for any adverse reactions, illness, injury, or other harm resulting from following AI-generated recipes.
• Nutritional information provided by the AI is estimated and should not be relied upon for medical dietary planning. Consult a healthcare professional for dietary advice.

4. Recipe Imports

• Pantree allows you to extract recipe information from publicly accessible web pages, social media posts, and photos.
• Imported recipe content (text-based ingredients and instructions) is stored locally on your device for your personal, non-commercial use only.
• You are responsible for ensuring that your use of imported content complies with applicable laws in your jurisdiction.
• Pantree does not claim ownership of any recipe content imported by users.
• Recipe extraction relies on publicly available data and may not always be accurate. You should verify extracted recipes before cooking.

5. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, decompile, disassemble, or extract the source code of the App
• Interfere with or disrupt the App's servers, networks, or infrastructure
• Share, transfer, or sell your subscription or account access to any other person
• Use the App to systematically scrape, harvest, or collect recipe content for commercial purposes
• Use automated tools to access the App beyond normal personal use
• Circumvent any security measures or access restrictions of the App

6. Intellectual Property

The Pantree App, including its design, user interface, features, code, graphics, icons, and original content, is owned by Upper Echelon Software and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App or its content without our written permission.

The Pantree name, logo, and associated branding are trademarks of Upper Echelon Software.

7. Accuracy and Errors

Pantree relies on artificial intelligence and automated extraction to generate and import recipes. These processes are not perfect. Recipes may contain errors in ingredients, quantities, instructions, or nutritional information. You acknowledge that:

• Recipe imports may not always succeed or may produce incomplete results depending on the source
• AI-generated recipes are suggestions and may not match your expectations
• Nutritional information is estimated and should not be used for medical purposes
• We are not responsible for any dissatisfaction with recipes generated or imported through the App

8. Disclaimer of Warranties

We do not warrant that:

• The App will be uninterrupted, error-free, or free of viruses or other harmful components
• Recipe imports will be 100% accurate or complete
• AI-generated recipes will meet your specific dietary needs, taste preferences, or safety requirements
• Nutritional information will be precise
• Pantry tracking or grocery lists will be perfectly accurate
• The App will be compatible with all devices or operating system versions

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UPPER ECHELON SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Foodborne illness or allergic reactions resulting from recipes
• Personal injury or property damage related to cooking
• Loss of data stored on your device
• Inaccuracies in imported or generated recipe content
• Service interruptions or unavailability
• Any damages arising from your reliance on the App's content

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless Upper Echelon Software, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or your use of the App shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Upper Echelon Software regarding your use of the App and supersede all prior agreements and understandings.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

15. Apple-Specific Terms

These Terms are between you and Upper Echelon Software only, not Apple. Apple has no obligation to furnish any maintenance and support services with respect to the App. Apple is not responsible for addressing any claims relating to the App. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms.
